Terms of Service

These Terms of Service (the "Terms") govern access to and use of the SafeBridge cloud medical imaging platform, including the archive, web and desktop viewers, worklist, DICOM routing and edge server software (the "Service") provided by SafeBridge ("SafeBridge", "we", "us"). By requesting an account or using the Service you agree to these Terms on behalf of the organization you represent ("Customer"), and you confirm that you have authority to bind it.

1. The Service

SafeBridge provides cloud storage, archiving, viewing, sharing and routing of medical imaging data (DICOM), together with edge server software that Customer installs at its sites to connect modalities and PACS to the Service.

We may improve, modify or discontinue features of the Service. We will give reasonable notice of changes that materially reduce functionality for paid customers.

2. Accounts and access

Customer designates one or more administrators and is responsible for the users it adds, for keeping sign-in credentials secure, and for all activity under its organization. Sign-in is through Google accounts, which SafeBridge verifies with Google.

Customer must give accurate registration information and keep it current. Notify us immediately at support@safebridge.io of any suspected unauthorized access.

SafeBridge support staff may access a Customer organization to provide setup, support and troubleshooting, subject to the Business Associate Agreement.

3. Free trial

A trial account lasts 30 days from the day SafeBridge sets up the account and includes up to 50 GB of stored data. Storage is measured as the total size of stored objects, counting all stored versions, and is measured periodically (currently hourly).

The trial includes all features of the Service. SafeBridge may approve, reject, extend or end trial requests at its discretion.

When the storage limit is reached or the trial period ends, ingest stops: the Service will not accept new data. Viewing, downloading and sharing of data already stored continue to work. Data that has not yet been uploaded remains on the Customer's edge server.

To continue after the trial, Customer converts to a paid account by contacting support@safebridge.io. Conversion keeps existing data and settings and resumes ingest.

If a trial is not converted, SafeBridge may suspend the account and will retain data for the period described in the Privacy Policy and Business Associate Agreement, after which the data is returned or destroyed. Customer may request export or deletion at any time before then.

4. Paid accounts and fees

Fees, billing terms and any usage tiers for paid accounts are set out in an order form or written agreement with SafeBridge. Unless stated otherwise, fees are invoiced and payable in U.S. dollars within 30 days.

Refunds: the free trial is free, so there is nothing to refund. Fees for paid accounts are non-refundable except as required by law or as stated in an order form. Service credits for downtime apply only where an order form or written service level agreement provides for them.

5. Customer data and responsibilities

Customer owns all data it submits to the Service ("Customer Data"), including protected health information ("PHI"). Customer grants SafeBridge a limited license to host, process, transmit, display and back up Customer Data solely to provide the Service and as permitted by the Business Associate Agreement.

Customer is responsible for the lawfulness of the data it sends, for obtaining all required patient authorizations and notices, and for configuring its edge server and modalities so that only intended data is sent to the Service.

Customer is responsible for the edge server it operates: the host hardware, operating system, network, local storage and security, applying updates, and the PHI that resides on or passes through it before reaching the Service.

The Service is a viewing and archive tool. Customer is solely responsible for clinical decisions. The Service is not cleared as a diagnostic device unless stated in writing, and Customer is responsible for confirming suitability of image display for its intended use.

6. Acceptable use

Customer will not, and will not allow others to: violate any law or regulation; upload malicious code; probe, scan or test the vulnerability of the Service without permission; interfere with or disrupt the Service or its infrastructure; circumvent storage limits, rate limits or access controls; resell or provide the Service to third parties except as permitted in writing; reverse engineer the Service except as the law allows; or send data Customer has no right to send.

We may suspend access immediately if use threatens the security or availability of the Service or violates these Terms.

7. Confidentiality and security

Each party will protect the other's non-public information with reasonable care and use it only to perform under these Terms. SafeBridge maintains administrative, technical and physical safeguards appropriate to the sensitivity of Customer Data, including encryption in transit and at rest, access controls and audit logging. Handling of PHI is governed by the Business Associate Agreement.

8. Intellectual property

SafeBridge and its licensors retain all rights in the Service, edge software, documentation and any feedback Customer provides. Except for the limited rights granted here, no rights are transferred. Customer receives a non-exclusive, non-transferable right to use the Service and install the edge software for its internal operations during the term.

9. Term and termination

These Terms apply while Customer has an account. Customer may stop using the Service at any time. Customer may cancel a paid subscription with 30 days' written notice to support@safebridge.io; the Service continues until the end of the current billing period, and there is no early termination fee unless an order form says otherwise. Either party may terminate for material breach not cured within 30 days of notice. SafeBridge may suspend or terminate a trial at any time.

On termination Customer's access ends, and Customer Data will be returned or destroyed in accordance with the Business Associate Agreement. SafeBridge will help Customer export its data before then at no additional charge. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability and indemnity) survive termination.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, SAFEBRIDGE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR THAT DATA WILL NEVER BE LOST. Customer should keep copies of data it cannot afford to lose; the free trial in particular is provided without any availability commitment.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUE, EVEN IF ADVISED OF THEIR POSSIBILITY. SAFEBRIDGE'S TOTAL LIABILITY ARISING OUT OF THESE TERMS WILL NOT EXCEED THE FEES PAID BY CUSTOMER IN THE 12 MONTHS BEFORE THE CLAIM, OR US$100 FOR TRIAL ACCOUNTS. These limits do not apply to liability that cannot be limited by law.

12. Indemnity

Customer will defend and indemnify SafeBridge against third-party claims arising from Customer Data sent without the right to do so, or from Customer's breach of Section 6, to the extent permitted by law.

13. General

These Terms, together with the Privacy Policy, the Business Associate Agreement and any order form, are the entire agreement on their subject and supersede prior understandings. If there is a conflict regarding PHI, the Business Associate Agreement controls. We may update these Terms by publishing a new version; for accounts already open we will notify the account contact before material changes take effect. Neither party may assign these Terms without consent, except to a successor in a merger or sale of substantially all assets. These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules, and the parties submit to the courts located there.
